Terms and Conditions

01 / Website & client services

Website & client services

1. Who these terms apply to

The company named above, trading as O2 Design Studio ("O2", "we" or "us"), provides this website and the services described in an agreed quotation or service order. "Client" means the person or organisation engaging O2.

A service order must identify these terms and be expressly accepted by authorised representatives before it becomes binding. Acceptance may be by signature or a reliable electronic method recording identity, intent and the accepted version. Simply browsing the website, making an enquiry or receiving a quotation does not create a service contract or a confidentiality obligation under these terms.

Mandatory law prevails. An expressly agreed, lawful project-specific provision prevails over an inconsistent general provision. These terms do not automatically replace an existing signed agreement. O2 will provide Thai-language transaction documents where required by law.

2. Website use

You may view the website for lawful purposes. Do not gain unauthorised access, interfere with its operation, submit unlawful material or infringe another person's rights. Website content remains subject to applicable intellectual property rights and lawful exceptions.

Website assessments, automated tools and general guidance are informational, not binding quotations, professional advice or guarantees of results. Submit only information you are entitled to share, and request assessments only for websites you own or are authorised to assess.

02 / Services & payment

Agreeing the project

3. Scope, quotations and changes

The service order will set out deliverables, exclusions, timetable, revision allowance, fees, taxes, payment stages and any recurring service. Website examples or package descriptions do not add work beyond the agreed scope.

O2 must explain the total payable, or a clear calculation method where a total cannot reasonably be fixed, before acceptance. Optional services, paid licences and third-party costs require approval. Changes to scope, price or timing require agreement in writing; neither party may impose additional work or charges unilaterally.

4. Fees and payment

After the draft: 50% deposit. Once O2 has presented the initial draft and the client expressly agrees in writing to proceed with the project, the client must pay a deposit of 50% of the agreed website build fee. Further website development begins only after O2 receives cleared payment. The deposit is credited towards the build fee, not charged in addition to it.

On completion, before deployment: remaining 50% plus care. O2 will present the finished website for final review. The remaining 50% of the build fee and the first month of the expressly ordered care plan must be paid in cleared funds before the website is deployed. Any different care billing interval must be expressly agreed. Launch timing is set out in section 7; cancellation and refund rights remain subject to sections 8 and 9.

The service order must clearly state the amounts, applicable taxes and any separately approved charges. Client-specific prices and discounts are not published here. Any legally required tax withholding may be made with the appropriate certificate and counts towards payment of the invoiced amount.

Raise billing concerns promptly so they can be investigated; doing so does not shorten any statutory claim period. Pay undisputed amounts when due. For work already underway, O2 may suspend affected work for material non-payment only after written notice and at least 14 calendar days to resolve it, unless a longer period is required by law. O2 will not suspend solely because a disputed charge is being raised in good faith and reasonably investigated.

No automatic penalty, collection fee or interest is imposed by these terms. Any separate arrangement must be disclosed, expressly agreed, proportionate and lawful.

03 / Care & launch

From completion to go-live

5. Website care and recurring services

Care is a separate recurring service only when expressly ordered. Its start date, billing interval, included tasks, support arrangements and any minimum term must be disclosed before acceptance. A care plan does not include unlimited changes, new features or uninterrupted availability unless expressly promised.

Care starts on the actual go-live date, not the payment date, and the first monthly payment covers one month from launch, unless expressly agreed otherwise. Later care fees are payable in advance each month.

Unless a different lawful term is expressly agreed, a monthly plan continues month to month and the client may cancel by email before the next billing period starts. Cancellation then takes effect at the end of the paid period, without a further renewal charge. Automatic payment collection requires separate authorisation. Statutory cancellation and refund rights remain unaffected.

Price increases require at least 30 calendar days' written notice, apply only to a future period, and do not alter an agreed fixed term. The client may decline an increase and cancel before it takes effect without an early-exit charge.

Subscription services. Everything this section says about care applies equally to each subscription service described in section 10: it is expressly ordered, billed in advance for each period, continues period to period, may be cancelled by email before the next period starts, and ends at the end of the last paid period.

6. Client cooperation

The client must provide accurate instructions, authorised access and materials it may lawfully use. Each party is responsible for permissions and legal duties relating to its own materials and conduct. Client approval does not excuse O2's own infringement or other breach.

Client materials and personal data. The client must hold the rights and, where the law requires it, the consent needed for every photograph, video, name, review and other material it supplies to O2, asks O2 to publish or uploads itself through a tool O2 provides. This includes the consent of any identifiable person shown or named, explicit consent where the material holds sensitive personal data such as health information (for example before-and-after photographs), and any privacy notice the law requires the client to give those people, under the Personal Data Protection Act B.E. 2562 (2019) and other applicable law. Supplying or uploading material confirms that the client holds them. O2 is not required to verify that confirmation, but this does not reduce O2's own duties under section 15 and the law.

Complaints and removal. If O2 receives a credible complaint, or reasonably believes that material infringes another person's rights or data-protection law, O2 may decline to publish it, or hide or remove it from a website or system O2 operates, and will promptly tell the client which material and why. The client may provide evidence of its rights or consent, or replacement material, and O2 will restore the material once the concern is reasonably resolved. Action limited to the material concerned does not suspend the rest of the service.

Copyright notices. A copyright owner, or a person acting for one, may tell O2 that material on a website or system O2 hosts or runs infringes their copyright, by email to admin@o2-designstudio.com or through the report form O2 publishes, giving who they are and how to reach them, the work concerned, where the material is, and a statement in good faith that its use is not authorised. O2 removes or disables access to the material without delay, as the Copyright Act B.E. 2537 (1994), as amended, provides, and tells the client. The client may send O2 a counter-notice explaining why the use is lawful, and O2 then handles the material as that Act provides, including restoring it where the Act allows. O2 ends the services of a client who infringes repeatedly.

Responsibility for supplied material. In line with section 19, the client is responsible for loss, third-party claims and reasonable, documented costs that O2 suffers to the extent they are caused by material the client supplied or uploaded without the necessary rights or consent. This does not cover loss caused by O2's own breach, including O2's own handling of personal data in breach of the law or of an agreed data-processing agreement.

If missing information or delayed feedback affects delivery, O2 will explain the impact and propose a reasonable revised timetable. Additional cost is chargeable only if agreed. Credentials should be exchanged securely, with access limited to what the work requires.

7. Review, launch and defects

The client should identify requested changes or defects with enough detail for O2 to investigate. Silence alone is not final acceptance or a waiver of rights. Launch requires the client's approval or an expressly agreed launch instruction.

Live within 24 hours. O2 will deploy the approved website within 24 consecutive hours, including weekends and public holidays, once all requirements are met: cleared pre-deployment payment under section 4, client launch approval, and necessary client-controlled domain, hosting and account access. O2 will identify access requirements before the final invoice and promptly confirm when all requirements are met.

Domain-name propagation may delay visibility for some visitors. O2 will explain and reasonably address this; it does not excuse O2's own avoidable deployment delay.

O2 will correct failures to meet the agreed specification that are attributable to O2 within a reasonable time and without an additional fee. A request outside the agreed specification is a scope change, not a defect. Statutory warranties, remedies and limitation periods are not reduced by a review deadline or a care-plan expiry.

Before launch, the parties will identify responsibility for domains, hosting, access, backups and renewal dates. Client-owned accounts and data remain the client's. O2 will not claim ownership of them merely because it administers them.

04 / Cancellation & refunds

Remedies and ending a project

8. Cancellation, suspension and termination

A client may request cancellation by emailing O2. Where no more favourable statutory right applies, any cancellation settlement must reflect work actually performed and reasonable, documented, unavoidable commitments approved for the project, subject to Thai law and any lawful express agreement. Avoided costs and amounts already paid must be credited. A deposit is not automatically forfeited and future unperformed work is not automatically payable.

Either party may terminate for a material breach after written notice and a reasonable opportunity of at least 14 calendar days to remedy it, where remedy is possible. Immediate protective action may be taken only where reasonably necessary for illegality, a serious security threat or an irremediable material breach. O2 will limit any suspension to what is necessary and notify the client as soon as lawfully practicable.

On termination, O2 will explain the final account, refund sums due and provide the client's materials, data and deliverables to which it is entitled. Any agreed transition work and cost must be clear in advance. A fee dispute does not authorise destruction of data, disabling delivered work without a lawful basis, or withholding client-owned accounts as leverage.

What stays online after cancellation. When a subscription service ends, by cancellation under section 5, for non-payment after the notice required by section 4, or by termination under this section, O2 may switch off that service, and the scripts, automations and connections it runs, at the end of the last paid period, after telling the client the date in writing. One-off products are the client's to keep: before O2's hosting of a website ends, O2 hands over its files, content and the access the client needs, so that it can stay online on hosting and a domain the client controls. On request within 30 days after the end, O2 provides the client's data from the subscription service in a commonly used format; after that, O2 may delete it, subject to section 14 and the law. The client's own accounts, calendars and spreadsheets, and the data in them, stay with the client. Switching off a subscription service in this way is not disabling delivered work.

9. Consumer cancellation and refunds

Any mandatory consumer right overrides the general cancellation settlement above. Where the Direct Sales and Direct Marketing Act applies and no statutory exception applies, the consumer may cancel in writing within seven days after receiving the goods or services; O2 will return the full payment within 15 days after receiving the cancellation notice. Any longer or additional right required by law is preserved.

For other refunds due under these terms, O2 will provide the calculation and pay within 15 days after the refund becomes due, or sooner if the law requires. O2's breach, failure to supply or defective performance remains subject to the client's legal remedies. Starting work does not itself waive a statutory cooling-off right.

05 / Ownership & confidentiality

Protecting the work

10. Intellectual property and handover

Each party retains its pre-existing materials and rights. Ownership of commissioned work follows Thai copyright law unless the parties expressly agree otherwise. Any different ownership arrangement, payment condition, deliverable list or source-file exclusion must be clearly agreed before work starts. A copyright assignment requiring signed writing must meet that formality.

O2 retains its independently developed or pre-existing reusable code, templates, methods and internal working materials, to the extent O2 owns them. O2 may reuse those materials and general skills in other projects, but not the client's confidential information, branding or exclusive commissioned work.

For O2-owned background material embedded in a deliverable the client is entitled to use, O2 grants a non-exclusive, worldwide licence for the duration of the relevant rights to use and modify it as part of that deliverable, including through maintenance providers. This does not permit resale of O2's background material as a standalone product. Third-party and open-source materials remain subject to their own licences, disclosed where relevant; these terms do not override them.

Ownership or use of the finished website does not by itself include access to O2's unrelated systems, other clients' work or confidential internal process documents. Handover must nevertheless include what the service order and law require to use the purchased deliverables.

One-off products and subscription services. The service order states which parts of the work are one-off products and which are subscription services. Unless it says otherwise, a website O2 designs and builds for a one-off fee, meaning its design, pages, text, images and the files that make it up, is a one-off product. The online booking system, online store, QR table ordering, business dashboard and AI assistant for LINE, any script, automation or connection O2 builds or runs to link the client's tools (such as an Apps Script linking a website to Google Calendar or Google Sheets), and hosting and care are subscription services.

One-off products belong to the client. Once its fee has been paid in full, a one-off product is the client's to keep and use, including after every subscription has ended. Ownership of its commissioned parts follows this section, and the licence above for O2's background material embedded in it does not end when a subscription ends.

Subscription services remain O2's. As the first paragraph of this section allows, the parties expressly agree, and the service order records before work starts, that each subscription service, including its software, scripts, automations, configuration and the systems that run it, belongs to O2 or its licensors, even where it was built for the client. The client may use it only while the subscription is paid and in force. Paying for it does not transfer ownership, and the client may not copy it, keep it running, resell it or hand it to another provider after it ends, unless the service order says otherwise. The data the client and its customers put into it remains the client's (section 8, section 15).

11. What must remain confidential

After express acceptance of the relevant confidentiality obligation, each party must protect the other's non-public information disclosed for evaluating or performing the project and identified as confidential or reasonably understood to be confidential from its nature and context. This includes the following:

Private commercial terms: negotiated build prices, recurring care fees, discounts, quotations, proposals, invoices, payment schedules and other private deal terms.

Build process and tools: non-public development methods, production steps, workflows, software and platform selections, tool combinations, configurations, prompts, automations, testing methods, deployment arrangements and internal documentation.

Project and security information: unpublished designs, source code, business plans, client data, access credentials and security details. Public information and the permitted disclosures in section 13 are excluded.

12. How confidential information may be used

Use it only to evaluate, perform, administer or lawfully exercise rights concerning the project. Do not publish, sell, circulate or use it to reproduce the other party's confidential production system, train a generally available model, or serve unrelated projects without permission. This does not restrict lawful use or maintenance of a purchased deliverable, independent development or general skills.

Use reasonable safeguards and need-to-know access. Do not publish private discussions, screen recordings or screenshots that reveal protected information. Notify the affected party without undue delay of a suspected unauthorised disclosure and reasonably cooperate in containing it. Mandatory security and personal-data duties remain separate.

06 / Disclosures & personal data

What may be shared

13. Exceptions and permitted disclosures

Confidentiality does not cover information that is lawfully public without a breach, was already lawfully known without a restriction, is independently developed without using protected information, or is lawfully received from an unrestricted source.

O2's public company identity, registration number, business contact details, these terms, published prices and information O2 deliberately publishes are not made secret by these terms. Neither are technologies or features readily apparent from a public website. The confidential fact that a client received a private deal remains protected even if O2 also publishes general prices.

Either party may share necessary information with personnel, professional advisers, auditors, insurers and service providers who need it for the project and are bound by appropriate confidentiality duties. Each party must take reasonable steps to ensure compliance by those it involves. A client may use another maintenance provider under equivalent safeguards.

Disclosure required or protected by law, a court or a competent regulator is permitted, as are lawful complaints, reporting suspected wrongdoing, and establishing or defending legal rights. Limit disclosure to what is reasonably necessary; give advance notice only where lawful and practicable. Prior approval is not required for a legally protected disclosure.

These terms do not prohibit lawful, honest reviews or criticism, or require a client to conceal unlawful conduct. Reviews should avoid unnecessary disclosure of genuinely confidential information or other people's personal data. Any legally protected disclosure takes priority over this restriction.

14. Duration and return of information

Ordinary confidentiality obligations last during the project and for five years after it ends, or after the last disclosure if no project proceeds. Qualifying trade secrets remain protected while they continue to qualify under Thai law. Personal data and credentials remain subject to applicable legal and security duties, not an automatic five-year retention period.

When reasonably requested or no longer needed, return or securely delete protected information, except records needed for legal compliance, a legal claim, or protected backups removed through the normal retention cycle. Retained copies stay protected. This does not require deletion of the client's purchased deliverables or essential ownership and transaction records.

15. Privacy and service providers

Personal data is handled under applicable Thai data-protection law and O2's separate Privacy Notice. These terms are not consent to marketing, unnecessary cookies, unrestricted disclosure or model training. Additional notices and consent will be provided or obtained where required.

Where O2 processes personal data on a client's instructions, the parties will put the required data-processing agreement in place before that processing. Roles, instructions, safeguards, providers, transfers, retention and incident handling must be addressed. Confidentiality cannot be used to withhold legally required privacy or provider information.

16. Publicity and portfolios

O2 will obtain the client's written approval before using its name, logo or project as a promotional case study or portfolio entry. Neither party may imply the other's endorsement without permission. This does not restrict truthful, lawful references, reviews or required disclosures.

O2's credit and name. Where O2 places its credit or a link on a client's website or product, it shows only that O2 provided a service. O2 may remove its credit, link and portfolio entry at any time, or ask the client to remove them, without giving a reason; the client must do so promptly and must not add them back without O2's written consent. On O2's written request, the client must also remove any other mention of O2 that it controls.

07 / Independent businesses

Our role as a service provider

17. Independent service provider; no affiliation or endorsement

Separate businesses. O2 supplies the agreed website, digital products and related services as an independent service provider. This commercial relationship does not, by itself, make O2 an owner, operator, partner, joint venturer, investor, agent or guarantor of the client's business, or otherwise affiliate the two businesses. Neither party may bind the other or represent that it has authority to act for the other without separate, lawful authorisation.

Client operations. The client must conduct its business lawfully and is responsible for its own activities, products, services, claims, licences, permits, customer dealings and regulatory compliance. O2 is not a party to the client's customer transactions, and does not assume the client's debts, obligations or misconduct merely by building, supplying, hosting or maintaining its website or digital products.

No endorsement or false association. Providing services, a developer credit, a link or an approved portfolio entry does not certify the client's legitimacy or endorse its conduct, claims or offerings. The client must not use O2's name, logo or relationship to imply an untrue affiliation, endorsement or guarantee, and must promptly correct misleading statements within its control. Truthful, lawful references to O2's actual services remain permitted.

Unlawful use. The client must not use O2's services or deliverables for fraud, deception or other unlawful activity. Where credible information raises a concern, O2 may seek clarification and refuse apparently unlawful instructions. Any suspension or termination follows section 8 and applicable law. O2 may preserve relevant evidence and make disclosures required or permitted by law, subject to sections 13 and 15.

Lawful purposes only. The client confirms that its business, and everything it asks O2 to design, build, publish, connect or run for it, is lawful in Thailand and wherever it is offered, including its products and services, prices, promotions, claims and content, and that it holds the licences and permits its business needs. The confirmation applies to every instruction the client gives. O2 does not investigate the lawfulness of a client's business and relies on it.

Businesses O2 does not serve. Whether or not it is lawful where it is offered, O2 does not design, build, host, connect, run or promote, through any service it offers now or later, including automated or self-serve tools, anything that: offers or promotes gambling or betting of any kind, including casinos, sports betting, lotteries and lottery resale; offers, shows or links to pornography or other sexually explicit material, or offers sexual or escort services; sells or promotes illegal drugs, weapons, ammunition or explosives, or counterfeit or stolen goods; runs a pyramid or Ponzi scheme, a deceptive multi-level scheme or any other scam; offers lending, investment, foreign-exchange or digital-asset services without the licence the law requires; spreads malware, phishing or hacking tools, or impersonates another person or business; or promotes hatred, violence or the exploitation of anyone. A lawful promotional prize draw that has the approval the Gambling Act B.E. 2478 (1935) requires, run as part of the client's own business, is not gambling for this purpose. O2 decides in good faith whether a project falls within this list. The client must not use an O2 service or deliverable for any of these, including by changing it after delivery.

Knowing who the client is. O2 may ask, before work starts and at any time during it, for evidence of who the client is and what its business does, such as identification, company registration, the licences its business needs and who it acts for. O2 may refuse or pause the work until the evidence is provided, and may end the engagement if it is false or is not provided within a reasonable time. A person who accepts a service order for a business confirms that they are authorised to bind it.

What O2 may do. If a client uses, or asks O2 to use, O2's services or deliverables for anything unlawful or for a business O2 does not serve, including fraud, deception, prohibited or unlicensed trade, gambling, infringing another person's rights or misusing personal data, O2 may refuse the work, remove or switch off the affected material or subscription service, and suspend or end the engagement. Where others face a risk of harm, or the law requires it, O2 may act at once and will tell the client as soon as it lawfully can; otherwise it acts under section 8. Fees for work already performed remain payable, and no refund is due for a period lost through the client's own unlawful use or a business O2 does not serve, except where the law requires one.

Reporting unlawful content. Anyone may report content on a website or system O2 hosts or runs. This is O2's procedure, published as the Computer-Related Crime Act B.E. 2550 (2007) and the Ministry of Digital Economy and Society's notification on notice and removal require. (a) A complaint is made to O2 Design Studio, at the address at the top of these terms, by email to admin@o2-designstudio.com or through the report form O2 publishes. (b) A complete complaint gives the complainant's name, surname and address and how to reach them, the address of the content, what it is and why it is unlawful, the harm it causes, and a statement, signed or confirmed electronically, that the complaint is true. (c) On a complete complaint, O2 suppresses or removes the content within 24 hours, sends a copy of the complaint to the client concerned, and keeps a record of each step. (d) A report that is incomplete or anonymous is still reviewed, and O2 acts on it where it has reason to believe the content is unlawful or falls within the list above. O2 keeps the computer traffic data and other records the law requires a service provider to keep, for the period it requires, and gives them to authorities lawfully entitled to them, subject to section 13 and section 15.

The client's customers. The client is the business its customers deal with. It sets and publishes its own terms, prices, refund rules and privacy notice for them, handles their complaints, and is responsible for what it sells and how it delivers it. O2 is not a party to those dealings and does not answer for them.

Responsibility for the client's business. In line with section 19, the client is responsible for loss, third-party claims and reasonable, documented costs, including legal costs, that O2 suffers to the extent they are caused by the client's business, its dealings with its customers, its instructions or its unlawful use, and for any fine or penalty imposed on O2 because of them, to the extent the law allows it to be passed on. This does not cover loss caused by O2's own breach.

Legal limits. This clause does not exclude liability for O2's own acts, omissions, participation in wrongdoing or breach of a legal duty. It does not override the actual facts, mandatory law, or the rights and powers of third parties, courts or regulators.

18. Service standard and external dependencies

O2 will perform its agreed work with reasonable care and skill. O2 may select suitable tools and qualified subcontractors, subject to agreed restrictions, licences, confidentiality and data-protection duties. O2 remains responsible for the work it undertakes, including work it delegates.

Search rankings, traffic, sales, platform approvals and uninterrupted third-party availability depend on factors O2 cannot fully control. No specific result is promised unless expressly agreed. This does not excuse O2 from delivering agreed work or responsibility for its own selection, configuration, security or management failures.

08 / Responsibility & disputes

Fair responsibilities

19. Liability and enforcement

Each party is responsible for loss for which it is liable under Thai law, taking account of causation, evidence, mitigation and any contribution to the loss. These terms impose no blanket exclusion of loss and no automatic indemnity, apart from the responsibilities that section 6 and section 17 set out.

Nothing excludes or limits liability for fraud, wilful misconduct, gross negligence, unlawful injury to life, body or health, or any liability that cannot lawfully be excluded. Consumer, privacy and intellectual property rights are preserved.

For a breach, including misuse of confidential information, the affected party may seek lawful remedies, including damages or court-ordered protective relief. No fixed fine or automatic entitlement to an injunction is created. Legal costs are payable only where lawfully agreed or awarded.

Loss O2 does not answer for. O2 is not responsible for loss to the extent it is caused by the client's business, products, content, instructions or unlawful use; by material the client supplied (section 6); by the client's own accounts, devices, staff or other providers; by platforms and services outside O2's control, such as payment providers, LINE, Google, hosting providers and domain registrars, except where section 18 makes O2 responsible for its own selection, configuration or management of them; or by the client not following O2's written security or launch instructions.

Indirect loss. Neither party is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss, except where Thai law does not allow that liability to be excluded.

Ceiling. O2's total liability to a client for all claims arising from or connected with its services, whether in contract, wrongful act or otherwise, is limited to the fees the client actually paid O2 in the 12 months before the event that gave rise to the first claim. None of the limits in this section applies to liability that cannot lawfully be limited, including for fraud, wilful misconduct, gross negligence or injury to life, body or health, and none reduces a consumer's mandatory rights or a refund due under section 9.

20. Events beyond reasonable control

A party affected by an unavoidable event beyond its reasonable control must promptly explain the impact, mitigate it and resume performance when possible. Relief applies only to the extent permitted by law; lack of funds or an avoidable security failure is not automatically an excuse.

If the affected service cannot reasonably continue, either party may end that part of the engagement. Payments must be reconciled for work actually supplied and refunds due for unsupplied services, subject to mandatory law. No future fee becomes payable merely because the event occurred.

21. Thai law, complaints and notices

Thai law governs these terms. Raise concerns at admin@o2-designstudio.com or the registered office shown at the top of these terms. Seeking an informal resolution is not a condition to contacting a regulator, preserving a legal deadline or seeking urgent relief.

Disputes may be brought before the competent Thai court. No exclusive venue or mandatory arbitration removes statutory rights. Notices may be sent to the agreed email or postal address; their legal effect depends on applicable law and evidence of receipt, not merely on sending.

22. Changes, interpretation and continuing rights

O2 may publish dated updates for future engagements. Existing projects keep their accepted version unless both parties expressly agree a lawful change. Recurring fee changes follow section 5. No update applies retrospectively to remove an accrued right.

An unenforceable provision is limited or severed as Thai law permits, without invalidating the remaining terms where legally possible. Thai law governs interpretation. Confidentiality, applicable licences and accrued rights survive termination as stated above.

What continues after the end. However the engagement ends, the client's responsibilities under section 6, section 17 and section 19, O2's right under section 16 to remove its name, and the reporting, removal and record-keeping in section 17 continue after it.
